An IPO represents a significant milestone for growing businesses. The transition from private to public brings new stakeholder expectations, regulatory frameworks, and operational standards that require deliberate preparation across multiple areas of your organization.

Our CMAAS team helps Indian companies build the institutional foundations needed for successful public listings. We assess your financial reporting infrastructure, governance structures, operational systems, and organizational capability against market standards. We identify where your practices already align with listing requirements and where enhancements will strengthen your position.

We provide comprehensive support across the entire IPO lifecycle: IPO readiness assessments that identify your current capabilities, IPO assurance services that validate your financial and operational maturity, project management to coordinate complex workstreams, strategic structuring, and post-IPO support to sustain market confidence. Beyond our core CMAAS team, we draw on PwC's broader expertise network - bringing in specialists in tax structuring, corporate strategy, corporate governance, and regulatory compliance. This integrated approach ensures you benefit from deep, sector-specific experience.

The result is a company genuinely prepared for public markets - with systems, governance, and capabilities built to standard, and a clear narrative grounded in operational evidence.

The IPO journey

A successful listing is not a single event - it is the outcome of deliberate planning across multiple phases, each with distinct demands and decision points. We structure our advisory support around four stages that mirror how transactions actually unfold in practice.

Phase 1: Pre IPO

Introduction:

The decision to go public is one of the most consequential a business will make. Before that commitment, leadership must be certain about the rationale, the route and the readiness. We work with founders, boards and investors to test assumptions, weigh alternatives and set the strategic foundation long before any formal process begins.

  • Has the board considered all available routes - listing, trade sale, private equity or a parallel process?

  • What is driving the transaction - growth capital, shareholder liquidity, profile or a combination?

  • How much capital does the business need for its next growth chapter?
  • Which funding structures are most appropriate for given ownership and leverage preferences?

  • Where will proceeds be deployed, and is that story compelling to outside investors?

  • What offer mechanics best serve shareholder objectives - fresh issues, sell-down or both?
  • At what valuation does the transaction become worthwhile for all parties involved?

  • Do founders, institutional backers and management share common expectations?
  • Are there legacy arrangements or shareholder agreements that complicate the structure?

  • Which exchange and market segment best matches the company's profile and ambitions?
  • Where do comparable businesses trade, and what does that suggest about investor reception?

  • What must change internally before a formal process can begin?
  • Has a sequenced plan been developed with clear owners and realistic milestones?

Phase 2: IPO readiness

Introduction:

Readiness means more than good financials. It means governance that holds up to scrutiny, systems that perform under pressure, leaders who can face investors with confidence, and a story that stands on evidence. We assess where gaps exist and help close them before they become obstacles.

  • Can the business explain in simple terms why an investor should participate?
  • Is the growth narrative supported by evidence - not just ambition?

  • How does performance stack up against the most relevant public comparables?

  • Do three to five years of results tell a coherent and investable story?

  • Are there items that will attract scrutiny - one-offs, restatements, margin shifts?

  • Is the reporting basis consistent, or will reclassification be needed for the prospectus?

  • Can finance close the books fast enough to meet listed company deadlines?

  • Does the business forecast reliably, and is there a record of accuracy?

  • Are systems capable of producing consolidated results without manual intervention?

  • Are there audit findings or known weaknesses that remain unresolved?

  • Does the board composition meet listing requirements - independence, expertise, diversity?

  • Is risk management embedded in decision-making or treated as a periodic exercise?

  • Does the executive team carry the credibility investors expect at this stage?

  • Are there key-person risks that would concern an institutional shareholder?

  • Has the business identified which sustainability topics its investors will care about most?

  • Are technology systems secure, scalable and governed to a standard that avoids risk?

  • Does the group structure need reorganisation before it can support a listed holding company?

  • Is there a project governance framework with defined roles and decision authority?

Phase 3: IPO execution

Introduction:

Once the process is live, speed and coordination become everything. Advisers must be aligned, materials must be produced to the highest standard and management must maintain performance while preparing for the most intense period of external engagement in the company's history. We ensure nothing falls between the cracks – project manage the entire process.

  • Has the right universe of investors been identified based on mandate, geography and appetite?
  • What has early engagement revealed about how the market perceives this business?

  • Are all diligence workstreams progressing without bottlenecks or unresolved findings?

  • Is financial information being prepared on a basis that will be consistent with future reporting?

  • Are disclosures complete, accurate and drafted in language investors can follow?

  • Is the regulatory submission timeline achievable given current progress?

  • Is there a unified message running through every document, presentation and conversation?

  • Is the company prepared to manage media interest and public commentary during the offer?

  • Is the management team prepared to present under pressure to demanding audiences?

  • Does the schedule reach the investors who matter most within the available window?

  • Is the order book building with quality and diversity, not just volume?

  • Does the proposed allocation support a stable aftermarket and long-term register?

Phase 4: Post IPO

Introduction:

Public markets reward consistency and punish surprises. Once listed, your company will be under far greater public and regulatory scrutiny than ever before, with a wider universe of stakeholders, associated risks and obligations to manage. The first twelve months set the tone for how investors, analysts and regulators will view the company for years to come. We help new issuers build the habits, capabilities and relationships that sustain confidence beyond the initial transaction.

  • Is the company maintaining proactive dialogue with its largest shareholders?

  • Is market perception being monitored through broker feedback and peer benchmarking?

  • Are ongoing obligations understood and met without last-minute pressure?
  • Are periodic reports produced to a standard that builds rather than erodes trust?

  • Is governance delivering genuine oversight, not just procedural compliance?
  • Is the company communicating candidly when performance or plans change?

  • Are results announcements clear, honest and free from unnecessary complexity?
  • Is guidance being managed in a way that preserves credibility over multiple cycles?

  • Is the company delivering on what it said it would do during the IPO?
  • Is there a credible plan that gives long-term holders reasons to remain invested?
