MCA introduces Companies Compliance Facilitation Scheme, 2026 – Path to regularise pending filings, dormancy, and closure with reduced fees and immunity benefits

In brief

The Ministry of Corporate Affairs (MCA) has notified the Companies Compliance Facilitation Scheme, 2026 (CCFS-2026 or scheme) on 24 February 20261

Through CCFS-2026, the MCA is providing companies with a one-time opportunity to regularise certain pending annual e-forms along with a significant waiver on the additional fees payable by such companies. The scheme is applicable to certain companies registered under the Companies Act, 2013 (Companies Act) with an aim to improve compliance and ensure that the MCA registry reflects accurate and up-to-date information.

The scheme also provides an opportunity for inactive or defunct companies to opt for dormancy or closure through strike-off mode by paying lesser fees.

The CCFS-2026 will come into force on 15 April 2026 and will remain in force till 15 July 2026.

It is particularly relevant to note at the conclusion of the scheme that the respective Registrars of Companies (registrars) concerned are directed to take necessary action against the companies which have not availed this scheme and are in default of filing these documents in a timely manner.
