We enclose a News Alert on the final regulations released by the Competition Commission of India ("CCI") on the procedure in regard to transaction of business relating to Combinations. The regulations would come into effect from 1 June, 2011, the same date when the provisions relating to combinations would come into force. Consequently, combinations covered by the prescribed monetary thresholds, based on assets or turnover of the parties (or groups) to the combination, shall now require filing and prior approval of the CCI effective 1 June, 2011. Under the Act, a Combination occurs through (i) acquisition; (ii) acquisition of control; and (iii) merger or amalgamation.
